Effective 2026-10-02. Between you and Track AI ROI. Questions: elijah@trackairoi.com.
1. The agreement
These terms are a contract between Track AI ROI ("we", "us"), which operates Track AI ROI at trackairoi.com (the "service"), and the company or consulting firm on whose behalf you use it ("you", "your company"). By creating a workspace, accepting an invitation into one, or using the service, you accept these terms on behalf of your company and confirm you are authorised to do so. If you do not agree, do not use the service.
The Privacy Policy explains how we handle information and is part of this agreement.
2. The service
Track AI ROI measures the results of AI implementations. A company states what an implementation is meant to achieve, connects the usage it already pays for, records the figures that matter to it, and the service computes adoption, outcomes, cost and a verdict from that evidence. Where a consulting firm is engaged, the goal becomes a commitment both sides confirm, and the verdict is attributed to the firm. The service also lets a firm publish its track record, and lets companies and firms find each other.
We may change, add or remove features. If a change materially reduces what your paid plan provides, we will tell administrators in advance.
3. Accounts, workspaces and roles
- You must give accurate information and keep your sign-in credentials secret. You are responsible for what is done under your account.
- Each workspace belongs to one company or one firm. Its administrators decide who joins and in what role, and are responsible for those people's use of the service.
- When your company adds people as participants, department members or recipients of check-ins, your company confirms it is entitled to provide their information to us and to have us contact them for those purposes. Each person can opt out of our emails.
- You must be 18 or older. The service is for business use.
4. Your data
- Your company owns its data. Everything your company enters or connects, and the figures the service computes from it, belong to your company.
- You grant us the right to store, process and display that data as needed to provide the service to your company and to those it authorises, and to keep the records described below.
- We may use aggregated figures that identify neither a person nor a company to operate and improve the service and to describe it publicly.
- The record is append-only. The value of the service rests on a history no party can edit. Verdicts, agreed baselines, confirmed financial events, usage figures and the change log are kept for the life of the workspace and, after deletion, in anonymised form. You accept this when you commit an implementation.
- You can export proof reports at any time. Account and workspace deletion work as described in the Privacy Policy.
5. Connected credentials and instrumentation
- When you connect a provider API key, you confirm you are allowed to use that key for reading usage, and that doing so complies with the provider's terms. We use it only to read usage figures, store it encrypted, and delete it when you disconnect it.
- When you add our run snippet to your own software, you are responsible for sending only the usage metadata it is designed to carry, and never prompt or response content or anything you are not entitled to share.
- When a Microsoft 365 administrator grants consent, you confirm they are authorised to do so for your organisation.
- The workflow recorder. The recorder is a browser extension a person installs and starts from their own account; it records only while that person has pressed Record, shows on every page while it runs, and nobody else can start it or see the recording before the person adds it as a workflow. What it collects is set out in the Privacy Policy, section 2. Your company is responsible for telling its staff that the recorder is available, what it collects and that starting it is their own choice, in writing where the law of their state requires written notice of electronic monitoring in the workplace (New York, Connecticut and Delaware among them), before anyone is asked to use it. You must not install the recorder on another person's computer or account, run it under someone else's account, or ask anyone to record who has not been told.
6. Consulting firms
- A firm acts on a client company's workspace only within an engagement that company has accepted, and only while it is open, except for read access to the history of its own work.
- A firm's public profile is all-or-nothing: every committed implementation appears with its verdict, including net-negative and abandoned ones, and nothing on it is self-authored. A firm must not misrepresent its verified figures elsewhere, and must not describe an unverified figure as verified by Track AI ROI.
- A firm must have a published profile and a verified email domain before contacting companies through the marketplace, and must not contact them outside the service using information obtained through it without the company's agreement.
- A firm may not use a client's workspace data for any purpose other than that client's engagement.
7. Verdicts and public figures
- Verdicts and the figures behind them are computed by the service from the evidence recorded in the workspace. No company, firm or operator can edit a verdict. If the evidence was wrong, the remedy is to record correct evidence, which produces a new verdict and leaves the old one in the record.
- A verdict describes measured results against a stated goal. It is not an endorsement, a ranking, a prediction, or advice, and it is not a guarantee that similar results will follow elsewhere.
- The "Verified by Track AI ROI" mark means the figures on a page were computed by the service from metered or confirmed evidence. It does not vouch for the suitability of any firm or implementation.
- Your company controls what leaves its workspace, as the Privacy Policy describes. You are responsible for whom you share proof report links with.
8. Acceptable use
You must not: access or attempt to access another company's data; probe, scan or overload the service; submit false measurements, timings, financial events or confirmations; connect a credential you are not entitled to use; send prompt or response content through the run snippet; use the service to build a competing product by copying its methods or figures; resell the service; or use it in violation of law. We may suspend access we reasonably believe breaches this section.
9. Trials, fees and payment
- Trial. A company that signs up on its own gets a 30-day free trial with full access. At the end of the trial the workspace becomes read-only unless a subscription starts; metering continues for a 30-day grace period and data is retained as the Privacy Policy describes.
- During an engagement, a client company's use of the service is covered by its consulting firm's arrangement with us. When the engagement ends, the company may continue on its own subscription.
- Subscriptions are billed in advance through Stripe at the price shown when you subscribe, renew automatically for the same period, and can be cancelled at any time from Settings; cancellation takes effect at the end of the paid period and fees already paid are not refunded except where the law requires. Prices may change with at least 30 days' notice before your next renewal. You are responsible for any taxes other than taxes on our income.
10. Term, suspension and termination
- This agreement runs while your company has a workspace. Your company may end it at any time by deleting the workspace.
- We may suspend or end access for a material breach of these terms that is not cured within 14 days of notice, for non-payment, or where required by law, and immediately for conduct that threatens the service or other customers.
- On termination, the workspace enters the deletion process described in the Privacy Policy, and the anonymised record described in section 4 remains.
- Sections 4, 7, 11 to 16 survive termination.
11. Our intellectual property
The service, its software, design, methodology, verification mark and documentation are ours. These terms give you the right to use the service for your company's internal business purposes and to share the proof reports it produces; they do not transfer any ownership. Feedback you give us may be used without obligation to you.
12. Disclaimers
The service is provided "as is" and "as available". We do not warrant that it will be uninterrupted or error-free, or that any verdict, figure or report is complete or accurate, since every figure depends on the evidence recorded and the usage the providers report. The service does not provide financial, legal, tax or investment advice, and a verdict is not a basis for any decision about hiring, compensation or employment. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
13. Limitation of liability
To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, however caused. Our total liability arising out of or relating to the service or this agreement is limited to the fees your company paid us in the twelve months before the event giving rise to the claim, or 100 US dollars if your company has paid no fees. These limits do not apply to a party's indemnity obligations, to breaches of section 8, or to liability that cannot be limited by law.
14. Indemnity
Your company will defend and indemnify us against third-party claims arising from data your company entered or connected without the right to do so, from its breach of section 5 or 8, or from a firm's misrepresentation of its figures. We will defend and indemnify your company against third-party claims that the service, as provided by us, infringes a United States patent, copyright or trademark, provided you tell us promptly and let us control the defence.
15. Governing law and disputes
These terms are governed by the laws of the State of Iowa and the United States, without regard to conflict-of-laws rules. Before starting any proceeding, the party with a complaint will write to the other and both will try in good faith for 30 days to resolve it. Any claim not resolved that way will be brought exclusively in the state or federal courts located in Iowa, and both parties consent to their jurisdiction. Either party may seek an injunction in any court to protect its intellectual property or data.
16. General
- We may update these terms. We will post the new version here with a new effective date and, for material changes, notify administrators by email at least 30 days before they take effect. Continued use after that date is acceptance.
- Notices to us go to the address in section 17; notices to you go to your workspace administrators' email addresses.
- If a provision is unenforceable, the rest remains in force. Failure to enforce a provision is not a waiver. Neither party may assign this agreement without the other's consent, except to a successor to its business. This agreement is the entire agreement about the service and replaces any earlier understanding.
